Acceptance of Terms

By accessing or using AdListo’s websites (including adlisto.com, adlisto.us, and adlisto.ca, collectively the “Sites”) or our mobile applications, you (“User”) agree to comply with and be bound by these Terms of Use (“Terms”). These Terms constitute a legally binding agreement between you and Ad Listo L.L.C. (“AdListo,” “we,” “us,” or “our”). IF YOU DO NOT AGREE with any of these Terms, you must not use the Sites or services. Your use of the Sites signifies your acceptance of these Terms and of our other applicable policies (such as our Privacy Policy, Posting Policy, and Cookie Policy), which are hereby incorporated by reference. In addition, when using certain features of AdListo, you agree to abide by any guidelines or rules posted for those features. Should you object to any term or any future modifications of these Terms, your only recourse is to discontinue use of the Sites.

Changes to Terms
AdListo reserves the right to change or modify these Terms at any time, in our sole discretion. Any changes will be effective immediately upon posting the updated Terms on the Sites. It is your responsibility to review these Terms periodically for updates. Your continued use of the Sites after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to any amended term, you must stop using the Sites. We will indicate the “Last Updated” date at the top of this document for reference.

All listings on AdListo are provided by independent third parties – we do not pre-screen postings or routinely monitor the content of user-submitted ads. AdListo does not verify the legality, accuracy, quality, or legitimacy of any listing, item, or service advertised on our platform. The inclusion of any advertisement or listing on our Sites does not constitute an endorsement or recommendation by AdListo, and we make no warranties regarding any users, postings, or third-party products/services. Users are solely responsible for researching and evaluating listings and conducting appropriate due diligence before engaging in any transaction. If you choose to click on an advertisement or interact with a listing, you may be redirected to an external website; AdListo is not responsible for the content, policies, or practices of any third-party websites. We explicitly disclaim any liability for disputes, damages, or losses arising from interactions or transactions between users and advertisers or between buyers and sellers. By using the platform, you understand and agree that AdListo is not a party to transactions between buyers and sellers and will not be liable for any issues that occur between them. Any transactions facilitated through AdListo are strictly between the parties involved. (See the section “Transactions with Others” below for more information on user-to-user dealings.)

Eligibility and Accounts
Eligibility:
You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Sites or register for an AdListo account. By accessing or using AdListo, you represent and warrant that you are legally competent to form a binding contract with us, and that you meet this age requirement. Individuals under 18 (or the applicable age of majority) are not permitted to use AdListo’s services without a parent or legal guardian’s involvement. We reserve the right to request proof of age at any time and to suspend or terminate any account if we suspect the user is a minor or otherwise ineligible.

Account Registration:
Certain features (such as posting an ad or messaging sellers) may require creating an AdListo user account. When creating an account, you agree to provide truthful, accurate, and current information about yourself as prompted by our registration form, and to update this information promptly if it changes. You may not impersonate any other person or entity or use a false identity or information that you are not authorized to use. Each user is generally allowed to maintain only one account, except with our prior consent (for example, a business with multiple authorized agents).

Account Security:
You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to choose a strong password and to keep it secure. Do not share your password or give others access to your account. If you suspect any unauthorized use of your account or any security breach, you must notify us immediately at support@adlisto.com. AdListo will not be liable for any loss or damage arising from your failure to safeguard your account credentials. We reserve the right to disable or suspend any account at any time if, in our opinion, you have violated any provision of these Terms or present a security risk.

User Conduct and Acceptable Use
When using AdListo, you agree to engage in lawful, respectful, and responsible behavior. You are solely responsible for any content that you post, upload, transmit, or otherwise make available on or through our Sites (“Content”). You agree not to post, upload, email, transmit, or otherwise make available any Content or material that:

• Is unlawful, harmful, or offensive:
  This includes content that is illegal, obscene, pornographic, indecent, exploitive of minors, or otherwise objectionable. You may not post any material that is threatening, abusive, harassing, defamatory, libelous, invasive of another’s privacy, or that could violate any law or regulation (civil or criminal).
• Promotes hate or discrimination:
  You may not post content that harasses, degrades, intimidates, or is hateful toward an individual or group based on race, ethnicity, religion, national origin, gender, sexual orientation, age, disability, or any other protected characteristic. Hate speech or any advocacy of violence against any group is strictly prohibited.
• Violates anti-discrimination laws:
  Any listing or advertisement must comply with applicable anti-discrimination laws. For example, postings for housing must adhere to the U.S. Fair Housing Act and similar laws, meaning you cannot state any discriminatory preference or limitation based on race, color, religion, sex, familial status, national origin, disability, or other characteristics protected by law. Likewise, job listings must comply with equal employment opportunity laws – you may not advertise employment opportunities with discriminatory preferences or requirements (except where allowed by law) regarding race, color, religion, sex, age, national origin, disability, or other protected traits. (For example, it is generally unlawful to require “U.S. citizenship” or particular immigration status in a job ad, unless required by law or government contract.)
• Impersonates or misrepresents:
  Content that impersonates any person or entity (including an AdListo representative, or falsely states or misrepresents your affiliation with a person or entity) is not allowed. You may not create a false identity or forge email headers to mislead others as to the origin of content. (This rule does not prohibit parody or satire of public figures, which is allowed as long as it is not misleading or deceptive.)
• Infringes rights of others:
  Do not post any content that infringes or violates the intellectual property rights of others, including copyright, trademark, trade secret, or patent rights, or rights of privacy or publicity. You should only post content (including text, images, videos, and audio) that you have created yourself or have permission to use. If you do not have the legal right to use certain content, do not post it.
• Contains personal or sensitive data:
  You must not post personal or identifying information about another person without that person’s explicit consent. This includes someone else’s full name, contact information, Social Security/Social Insurance numbers, credit card details, financial information, medical information, or any other sensitive personal data. (Posting your own contact information in your ads is allowed at your discretion, but please be cautious and understand such information will be public.)
• Is false or deceptive:
  You agree not to post any content that is intentionally false, misleading, or fraudulent. This includes “bait-and-switch” offers (advertising one item or price with the intent to substitute another), posting hoaxes or scams, or otherwise duping users. All listings must describe the item or service accurately and honestly.
• Is spam or commercial solicitation:
  You may not post irrelevant or repetitive content, spam, or any unsolicited or unauthorized advertising. Prohibited conduct includes posting chain letters, pyramid schemes, multi-level marketing offers, “get rich quick” schemes, or any form of unwanted mass solicitation. Do not post affiliate marketing content or referral code links except where explicitly allowed. Posting the same ad in multiple categories or cities (beyond what is permitted) or posting content that is not local or not relevant to the category is not allowed.
• Advertises illegal or regulated items/services:
  It is strictly forbidden to use AdListo to advertise or sell any illegal goods or services. This includes, without limitation: narcotics or controlled substances; illicit drugs or drug paraphernalia; stolen property; counterfeit goods or currency; illegal firearms or weapons; wildlife or products made from endangered species; human organs; or any other item whose sale is prohibited or regulated by law. You are responsible for ensuring that your posting complies with all applicable laws regarding the item or service. If an item or service is legal only with certain licenses or permits, you must possess such authorization to post it.
• Contains harmful code:
  Content that contains or embeds viruses, worms, malware, Trojan horses, or any other harmful computer code intended to damage or hijack the operation of any hardware, software, or telecommunications equipment is prohibited. You also agree not to undertake any actions that impose an unreasonable or disproportionately large load on our infrastructure or disrupt the normal flow of dialogue on the platform (e.g., flooding the site with repetitive content).
• Encourages unlawful activity:
  You may not post any material that solicits, encourages, or provides instructions for a criminal offense, unlawful activity, or that could give rise to civil liability or violate any local, state, provincial, national, or international law.

In addition to the above content rules, you agree to conduct yourself civilly in interactions on the platform. Do not “stalk” or harass other users (such as repeatedly contacting someone who has asked not to be contacted). You agree not to collect information about other users (including email addresses or phone numbers) for unauthorized purposes, such as sending unsolicited communications or for commercial uses outside of AdListo. AdListo is intended for local, person-to-person transactions and community connections – using the platform for mass data collection, profiling users, or any purposes outside the intended use is a violation of these Terms.

AdListo reserves the right (but does not assume the obligation) to remove or alter any content that violates the above standards or for any other reason, at our sole discretion. We also reserve the right to take appropriate legal action against anyone who knowingly posts content in violation of these Terms, including reporting such activities to law enforcement.

Posting Ads and User Content
Responsibility for Content:
You understand that all user-submitted Content (including ads, images, descriptions, messages, and any other material) is the sole responsibility of the person from whom the content originated. This means that you, not AdListo, are entirely responsible for all Content that you upload, post, email, or otherwise make available via our Service. AdListo does not guarantee the truthfulness, completeness, or quality of any user Content. You acknowledge that by using the Sites, you may encounter Content that is offensive, inaccurate, misleading, or otherwise objectionable. AdListo is not liable in any way for any Content posted by users, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, or otherwise made available via the Service. You agree that you must evaluate and bear all risks associated with the use of any Content, and you should not rely on said Content without independent verification.

Right to Monitor and Remove:
You acknowledge that AdListo generally does not pre-screen or moderate user postings. However, we retain the right (but not the obligation), in our sole discretion, to review, edit, refuse, delete, or move any Content that is available on the Sites. We may remove any Content that, in our judgment, violates these Terms, the Posting Policy, or is otherwise objectionable, potentially unlawful, or inappropriate, without notice and at any time. AdListo shall not be liable for any failure or delay in removing such material. By using the Sites, you consent to such monitoring and agree that such actions do not impose any liability on AdListo.

Accuracy of Listings:
If you post a listing or advertisement, you agree that all information you provide about the item or service is accurate, current, and complete. Do not deliberately misdescribe items, post placeholder ads for items you do not have, or otherwise deceive others. Each ad should be placed in the single most appropriate category and geographical area – posting duplicate ads in multiple locations or categories (spamming the site) is not permitted. AdListo may remove duplicate or miscategorized postings to improve user experience. We also reserve the right to flag or mark certain content as “sold,” “expired,” or otherwise inactive after a certain time period or if we believe the item is no longer available.

User Feedback and Ratings:
AdListo may allow users to review or rate each other or their listings. If you choose to leave feedback for another user, you agree to do so fairly and truthfully. You must not retaliate against another user for providing or not providing feedback. Feedback should not be used to harass or defame others. We reserve the right to remove any feedback that violates our policies.

Prohibited Content and Reporting:
If you encounter any Content on AdListo that you believe violates these Terms or our Posting Policy, please report it to us through the “Report” feature (if available) or by contacting support@adlisto.com. We will review reports and take action as we deem appropriate. However, understand that we do not guarantee removal of reported content and we may not be able to respond to every report.

By posting Content on AdListo, you represent and warrant that you have all necessary rights and permissions to post that Content and to grant the licenses to AdListo described in the Intellectual Property Rights section of these Terms. You also agree to comply with all applicable laws in regard to the Content you post (for example, any required disclosures for job postings, or compliance with local sale regulations for certain items).

Transactions with Others
No Involvement in User Transactions:
AdListo is only a venue for connecting buyers, sellers, and communities. We are not a traditional auctioneer, broker, or agent and are not involved in the actual transactions between users. Any sales, purchases, trades, or agreements for goods or services are solely between the buyer and the seller (or the parties involved). AdListo has no control over the quality, safety, legality, or availability of the items or services listed, nor do we control the truth or accuracy of users’ postings or the ability of sellers to sell items or of buyers to pay for them. AdListo does not transfer ownership of items, handle payments, or guarantee fulfillment of any agreement between users. It is the responsibility of users to exercise caution, common sense, and practice safe trading when engaging in any transaction through our platform.

Due Diligence:
Any dealings or communications you have with other individuals or entities through AdListo, including payment and delivery of goods or services, are made at your own risk and discretion. You should conduct whatever investigation you feel is necessary or appropriate (for example, meeting in a public place for local trades, verifying the legitimacy of a job offer, obtaining references for services, etc.) before proceeding with a transaction or sharing personal information. AdListo does not screen users (though we may, at our discretion, implement verification tools) and cannot guarantee that every user is who they claim or that every listing is genuine. Be vigilant and protect yourself when interacting with others.

No Warranty on Transactions:
AdListo makes no warranties or representations regarding any users, their listings, or transactions. We do not guarantee that buyers or sellers will actually complete a transaction or that a posted item or service will meet your expectations. All communications, negotiations, and transactions are strictly between users, and AdListo cannot ensure that a buyer or seller will perform as promised.

Release of Liability:
In the event that you have a dispute with one or more other users, you release AdListo (and our officers, directors, agents, subsidiaries, joint ventures, employees, and suppliers) from all claims, demands, and damages of every kind and nature (actual and consequential), known and unknown, arising out of or in any way related to such disputes. This release includes, for example, disputes over descriptions of items, payments, deliveries, warranties, returns, or any other issues that might arise between users. You acknowledge that this release is binding and specifically waive any protections (whether statutory or otherwise – e.g., California Civil Code §1542 or equivalent laws in other jurisdictions) that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist at the time of agreeing to this release. AdListo is under no obligation to become involved in disputes between users, but we may attempt to facilitate a resolution at our discretion. However, the ultimate resolution of any dispute rests with the users involved or the appropriate legal authorities.

Third-Party Services and Content:
Users may include in their listings links or references to external third-party websites or services (for example, a seller may link to a product manual, or a job listing may link to an external application page). AdListo is not responsible for any content, functionality, or transactions on third-party sites, even if linked from our platform. If you choose to use or engage with any third-party content or services (including payment processors, shipping companies, etc.), you do so under that third party’s terms and policies. We encourage you to review those terms and privacy policies before proceeding.

No Spam; No Automated Use
No Spam Policy:
AdListo maintains a zero-tolerance policy for spam or unsolicited communications. You may not use the Sites or our messaging systems to send unsolicited commercial messages (such as advertising or promotional materials) to other users, especially in bulk. For example, you agree not to harvest email addresses or contact information of users from the Sites to send spam emails, and not to initiate contact with users for purposes unrelated to a specific listing (e.g. mass marketing). Sending unsolicited email or messages through AdListo’s systems (including using the “Contact” or messaging features to send advertisements not related to a genuine inquiry) is expressly prohibited. We consider such misuse of our communication tools a violation of these Terms and certain applicable laws (such as the U.S. CAN-SPAM Act or Canada’s Anti-Spam Legislation). AdListo reserves the right to limit, suspend, or terminate the accounts of any user believed to be engaging in spam activities, and to take legal action (such as seeking injunctive relief, damages, and attorneys’ fees) against spammers as appropriate. You also agree not to spam outside email addresses with AdListo links or promotions without authorization.

No Automated Posting or Scraping:
You agree not to use any automated means to access or use the Sites for any purpose without our express permission. This includes the use of bots, scrapers, crawlers, spiders, or any script or software that automatically submits postings, logs in, or collects information from AdListo. Posting Agents (third parties posting content on behalf of others) are not permitted to use the Service without explicit written permission from AdListo. You further agree not to employ robots or automation to download or scrape data from AdListo (such as listing details or user information) for any use, including aggregation on other platforms, without our prior consent. We have implemented measures such as robots.txt files and other technologies to indicate permissible automated access; any overriding of these measures is a violation of these Terms.

Fair Use of Site:
You agree not to engage in activity that disrupts or interferes with the proper working of the Sites, or places an undue burden on our infrastructure. This includes excessive use of the Site that is not in line with normal personal classifieds use, attempts to hack or undermine the functionality of the Site, or deploying any mechanism that automatically posts or relays information to or from AdListo in a manner that mimics an individual’s usage. AdListo may, in its sole discretion, monitor and restrict the rate of postings or other activities by any user or IP address in order to maintain performance and availability of the Service for all users.

Email and Messaging:
The email forwarding and messaging features provided by AdListo are intended solely to facilitate communication between buyers and sellers regarding listings. You agree to use these features only for legitimate communications related to AdListo listings or services. You must not use AdListo’s communication tools to send harassing, abusive, or unwanted messages to others. We do not generally read or censor users’ private messages, but we reserve the right to filter or block messages that appear to be spam or malicious (for example, messages containing known scam keywords, phishing attempts, or malware links). We may also terminate or suspend messaging privileges for users who misuse the system.

Violations of this No Spam/No Automated Use policy are taken seriously. Unauthorized use of AdListo’s systems (for example, for sending unsolicited bulk messages or attempting to gain unauthorized access to the Site) may result in civil or criminal liability. Where appropriate, AdListo will report such misuse to the relevant authorities and cooperate with investigations.

Fees and Payments
Posting Fees:
AdListo is generally free to use for browsing and posting standard classified ads. However, we reserve the right to charge fees for certain premium features or specific categories of listings (for example, job postings, featured ads, or other enhanced visibility options). If a fee applies, it will be clearly disclosed at the time you post your content or sign up for the feature. By submitting a posting or request that incurs a fee, you agree to pay the specified amount. All fees are quoted in U.S. Dollars (USD) unless otherwise stated. Payment of fees may be handled through third-party payment processors, and by paying you agree to the terms and conditions of those payment services as well.

No Refunds:
All fees paid to AdListo are non-refundable, including in cases where your content is removed from the Service due to violation of these Terms or if your account is terminated for misconduct. For instance, if you pay to post an advertisement or to promote it, and we later remove the ad because it violated our Posting Policy or these Terms, you will not be entitled to any refund. Similarly, if you remove your ad or it expires before the full listing period, or if there is any downtime or interruption of the Service, AdListo is not obligated to refund any portion of fees paid. We may consider refund requests on a case-by-case basis in our sole discretion (for example, in the event of a posting error or duplicate charge), but we generally do not provide credit or refunds except as required by law.

Changes to Fees:
AdListo may change its fee structure or introduce new fees at any time upon posting notice on the Sites or within these Terms. Fee changes will not affect listings already posted and paid for, but will apply to any new or renewed listings after the effective date of the change. It is your responsibility to review the pricing and terms at the time of each posting or transaction.

Taxes:
If AdListo is required to collect sales tax, value-added tax (VAT), goods and services tax (GST), or other governmental fees or charges under applicable laws for the services or features provided, we will include those in the fees or otherwise notify you that additional charges may apply. You are responsible for any tax obligations arising from your transactions made via AdListo (for example, reporting any income from sales, paying applicable sales or use taxes on purchases, etc.) according to the laws of your jurisdiction.

Third-Party Payment Processors:
For any transactions that involve payment through the Site (such as purchasing a featured listing or any future e-commerce features), AdListo may use third-party payment processing services. We are not responsible for errors or security breaches of those services. Please review the terms of service of any payment processor you use via our platform. By making a payment, you authorize us (and our designated payment processor) to charge the credit card, debit card, or other payment method you provide for all fees incurred.

Promotions and Credits:
AdListo may occasionally offer promotional deals or credits for certain listings or services. Any such promotions are subject to the specific terms of the offer and may be discontinued or modified at any time. Credits or coupons have no cash value and are not transferable.

Termination of Service
AdListo reserves the right to limit, suspend, or terminate your access to the Service (including your user account and any postings) at any time, for any reason, and without notice. This includes, without limitation, the right to: deactivate or delete your account, block your email or IP address, or otherwise prevent you from using the Sites (or any part of them) immediately and without notice. We may take such action if we believe, in our sole judgment, that you have violated these Terms or any applicable policy or guideline, or if we believe you are engaged in improper or fraudulent activities, or for any other reason including prolonged inactivity. You agree that AdListo shall not be liable to you or any third party for any termination of your access to the Service. You further agree not to attempt to use the Service after any account termination or access revocation. If your account or usage is limited or terminated by us and you believe this was in error, you may contact support for assistance, but AdListo is under no obligation to reinstate an account.

You are free to stop using AdListo at any time or to delete your account voluntarily if you no longer wish to use our platform. Any provisions of these Terms which by their nature should survive termination (including but not limited to provisions regarding ownership of content, disclaimer of warranties, limitation of liability, indemnification, and dispute resolution) shall survive the termination of your access or account, whether we terminate it or you voluntarily close it. Termination of your account does not relieve you of any obligations to pay any outstanding fees or resolve any disputes if you have ongoing transactions with other users.

After termination, AdListo may keep a copy of your Content for a commercially reasonable period for backup, archival, or audit purposes, and as required to comply with laws. AdListo also reserves the right to delete or anonymize your Content as part of the termination process. You acknowledge that once your account is terminated (by you or by us), you may lose access to any data or content associated with that account, and AdListo is under no obligation to retain, forward, or provide copies of any such content to you. Please be sure to save any information you wish to keep prior to terminating your account.

Intellectual Property Rights
Our Proprietary Rights:
The AdListo Sites, including all content, visual interfaces, graphics, design, compilation, information, computer code (including source code or object code), products, software, services, and all other elements of the Service provided by AdListo (collectively, the “AdListo Materials”), are the exclusive property of Ad Listo L.L.C. and are protected by copyright, trademark, and other intellectual property laws. The Site is protected as a collective work and/or compilation under U.S. and international copyright laws. All rights are reserved. You may not reproduce, distribute, publicly display, create derivative works from, republish, or transmit any portion of the AdListo Materials without the prior express written permission of Ad Listo L.L.C., except as explicitly allowed under these Terms. You also may not remove or alter any copyright, trademark, or other proprietary notices on the Sites or on any AdListo Materials. For example, you shall not copy listings en masse from the site to another platform, nor use any part of AdListo’s design or text for commercial purposes without authorization. AdListo hereby grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Sites for your personal use (or legitimate business use for classifieds) in accordance with these Terms. This license does not include any right to collect, aggregate, copy, scrape, duplicate, display or derivative use of the Site nor any use of data mining, robots, or similar data gathering and extraction tools, except with our prior written consent. If you wish to make any use of AdListo Materials beyond what is permitted by this license, you must obtain our prior written permission. Any unauthorized use of the AdListo Materials terminates the permission or license granted by us and may constitute violation of copyright and other laws.

Trademarks:
“AdListo,” the AdListo logo, and any other product or service names or slogans displayed on the Sites are trademarks or service marks of Ad Listo L.L.C. (whether registered or common law) and may not be copied, imitated, or used, in whole or in part, without our prior written permission. You are not permitted to use any metatags or any other “hidden text” utilizing “AdListo” or any other name, trademark, or product or service name of AdListo without our prior written permission. All other trademarks, registered trademarks, product names, and company names or logos mentioned on the Sites are the property of their respective owners. Reference on the Sites to any third-party products, services, processes, or other information does not constitute or imply any endorsement, sponsorship, or recommendation by AdListo.

Your Content and License to AdListo:
AdListo does not claim ownership of the Content that you post or submit on the Sites (such as the text of your listings, descriptions, photos, videos, etc.). You retain ownership of any intellectual property rights that you hold in your Content. However, by posting or submitting Content to AdListo (including in any public area of the site such as listings, forums, or reviews), you automatically grant to Ad Listo L.L.C. a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and non-exclusive license to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute your Content in any and all media or distribution methods (now known or later developed). This license is provided so that we can operate and promote the Service (for example, to display your ad on our site, crop or reformat your images for better visibility, translate your listing into other languages or formats, or advertise your postings on social media or partner sites on your behalf). You agree that this license includes the right for AdListo to make your Content available to other companies, organizations, or individuals with whom we partner for the syndication, broadcast, distribution, or publication of content, and to use your Content for marketing or promotional purposes. You also grant AdListo the right to enforce any copyright in the Content against third-party infringers, such as parties scraping or aggregating your listings without permission (this means we can act on your behalf to prevent unauthorized use of your publicly posted Content outside the Service). You represent and warrant that you have all rights necessary to grant the foregoing license and that none of your Content infringes or violates the rights of any third party. You acknowledge that once you post Content on our platform, although you continue to own it, we have no obligation to remove or help you export that Content (outside the exercise of data rights under privacy laws), except as specified in these Terms or required by law.

Feedback:
If you send AdListo any feedback, suggestions, improvement ideas, or other information about the Service (“Feedback”), you acknowledge that such Feedback is provided on a non-confidential basis and you hereby grant to AdListo a perpetual, worldwide license to use the Feedback in any manner, and for any purpose, without any obligation to compensate you. While we appreciate and review user Feedback, we are not obligated to implement your suggestions and you have no expectation of any ownership or right to any improvements or modifications based on your ideas.

Copyright Infringement (DMCA) Policy:
AdListo respects the intellectual property rights of others and expects users to do the same. If you believe that any content on our Sites infringes your copyright, please notify us in writing pursuant to the Digital Millennium Copyright Act (DMCA) or applicable law at support@adlisto.com. Your notice should include: a description of the copyrighted work claimed to be infringed, identification of the content on our site that you claim is infringing (with URL or item number), your contact information, a statement by you that you have a good faith belief that the disputed use is not authorized, and a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on their behalf. Upon receiving a valid notice, we will promptly investigate and remove or disable access to the allegedly infringing content as appropriate. It is our policy, in appropriate circumstances, to terminate the accounts of repeat infringers.

Reservation of Rights:
All rights not expressly granted to you in these Terms are reserved by AdListo. No ownership or title to any aspect of the Service or AdListo Materials is transferred to you. Any unauthorized use of the Sites or AdListo Materials for any purpose is prohibited.

USE AT YOUR OWN RISK:
You expressly agree that use of the AdListo Sites and services is at your sole risk. AdListo provides the platform and all related services on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, either express or implied. To the fullest extent permitted by law, AdListo disclaims all warranties and conditions, express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the generality of the foregoing, AdListo makes no representations or warranties:

• That the Sites, services, or any Content will meet your requirements or expectations. We do not guarantee the accuracy, completeness, timeliness, or reliability of any content obtained through the Sites (including listings, descriptions, or communications from other users).
• That the Sites will be uninterrupted, secure, or error-free. We do not warrant that any defects or errors will be corrected, or that our systems are free of viruses or other harmful components. Downloading or obtaining any material through AdListo is done at your own discretion and risk.
• Regarding any goods or services advertised or offered by users or third parties through the AdListo platform. AdListo does not endorse any user or listing, and we make no warranty that any third-party transaction or interaction will meet your expectations or be completed. Any advice or information (oral or written) obtained from AdListo or through the service shall not create any warranty not expressly stated in these Terms.
• About Security:
  while we strive to implement reasonable security measures, AdListo does not warrant that the Sites will be immune from hacking, data breach, or unauthorized access. You understand that any information you provide is at your own risk.

Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our warranties are limited to the extent permitted by law. Check your local laws for any restrictions or limitations regarding warranty exclusion. If implied warranties cannot be disclaimed in your jurisdiction, we limit the duration of such warranties to the minimum period permitted by law.

Limitation of Liability
Limited Liability:
To the maximum extent permitted by applicable law, Ad Listo L.L.C. and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages whatsoever, including without limitation damages for lost profits, lost data, loss of goodwill, service interruption, computer damage, or system failure, or the cost of substitute products or services, arising out of or in connection with the Sites, the services, these Terms, or any Content, or any communications, interactions or meetings with other users of the Sites or services, whether or not AdListo was advised of the possibility of such damages. This limitation of liability applies regardless of the cause of action (whether arising in contract, tort, negligence, strict liability, or any other theory).

Without limiting the foregoing, AdListo shall not be liable for any loss or damage arising from: (a) your reliance on any content or postings on the Sites; (b) transactions or agreements you enter into with other users or third parties (including any products or services obtained through advertisements or links on AdListo); (c) unauthorized access to or alteration of your transmissions or data; or (d) any other matter relating to the use of the Sites or services. AdListo shall not be responsible for any failure to perform its obligations hereunder due to causes beyond its reasonable control.

In no event shall AdListo’s aggregate liability for all claims relating to the use of the Sites and services exceed the greater of (i) the total amount of fees (if any) that you paid to AdListo in the six (6) months immediately preceding the claim, or (ii) \$100 USD. This means that if you have not paid any fees to AdListo for use of the service, AdListo’s liability to you for any damages will be capped at \$100. This limitation will apply even if any limited remedy herein is found to have failed its essential purpose.

Because some jurisdictions do not allow the exclusion or limitation of liability for certain damages, in such jurisdictions our liability shall be limited to the extent permitted by law, and in no case will our liability exceed the amount permitted by applicable law. You acknowledge that the fees (if any) paid for use of the service (if any) reflect the allocation of risk set forth in these Terms and that AdListo would not offer the service without these limitations.

No Liability for Conduct of Others:
You specifically acknowledge that AdListo is not liable for the defamatory, offensive, or illegal conduct of any third party (including other users), and that the risk of harm or damage from the foregoing rests entirely with you. AdListo is not responsible for any actions of users on or off the platform. If you have a dispute with one or more users or third parties, you release AdListo (and our officers, directors, agents, subsidiaries, and employees) from claims, demands, and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes (as noted in the “Transactions with Others” section above).

The foregoing disclaimers and limitations will apply to the fullest extent permitted by law, even if any remedy fails of its essential purpose.

Indemnification
You agree to indemnify, defend, and hold harmless Ad Listo L.L.C., its parent, subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents, partners, and licensors (collectively, “AdListo Parties”) from and against any and all claims, demands, actions, causes of action, suits, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (a) any Content you submit, post, or transmit through AdListo; (b) your use of the Sites or any service provided by AdListo; (c) your violation of these Terms or of any law or regulation; (d) your breach of any representation or warranty in these Terms; or (e) your infringement of any rights of another person or entity (including intellectual property rights or privacy rights). This means you will pay all amounts that a court orders the AdListo Parties to pay or that the AdListo Parties agree to pay in settlement of claims, as well as all reasonable attorneys’ fees, costs, and expenses incurred in defending such claims.

AdListo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with AdListo’s defense of that claim, and you will not settle any such matter without the prior written consent of AdListo. Your indemnification obligations will survive any termination of your account or of the Services. This indemnity is intended to allocate responsibility between you and AdListo (and the other indemnified parties) and will be enforced to the fullest extent permitted under applicable law.

Governing Law and Jurisdiction
The rights and obligations of the parties under these Terms, and any disputes arising hereunder, shall be governed by and construed in accordance with the laws applicable to your place of residence, as follows:

• If you are a resident of the United States (or any country other than Canada):
  These Terms and any dispute or claim arising out of or related to them or your use of the Sites will be governed by the laws of the State of California, U.S.A., and applicable federal laws of the United States, without regard to its conflict of law principles. You agree that any such disputes or claims will be exclusively brought in the state or federal courts located in Orange County, California, and you hereby consent to the personal jurisdiction and venue of those courts. You waive any objection based on inconvenient forum (forum non convenient) or any similar doctrine.
• If you are a resident of Canada:
  To the extent permitted by applicable law, these Terms and any dispute or claim arising out of or related to them or your use of the Sites will be governed by the laws of Canada and the laws of the province in which you reside, without regard to conflict of law principles. You expressly acknowledge and agree that you are subject to the jurisdiction of the courts located in your province of residence and the federal courts of Canada for the resolution of any disputes or claims, and you consent to such personal jurisdiction. For example, if you reside in Ontario, the courts of Ontario (and federal courts of Canada located in Ontario) will have exclusive jurisdiction over any claims arising from these Terms.

Regardless of the jurisdiction, the U.N. Convention on Contracts for the International Sale of Goods does not apply to these Terms. If you live in a jurisdiction that permits you to bring claims in your local courts under local law (notwithstanding the above), nothing in these Terms is meant to limit those rights beyond what is permissible. However, by using the Sites, you acknowledge the above choices of law and forum and agree to them to the fullest extent allowed.

Compliance with Local Laws:
AdListo makes no representation that the content or services on the Sites are appropriate or available in all locations. If you choose to access the Sites from outside of the United States or Canada, you do so on your own initiative and are responsible for compliance with all applicable local laws. You may not use or export any content of the Sites in violation of U.S., Canadian, or other applicable export laws and regulations.

Miscellaneous Provisions
Entire Agreement:
These Terms of Use, together with any other legal notices or policies expressly incorporated by reference (such as our Privacy Policy, Posting Policy, and any applicable additional terms for certain services), constitute the entire agreement between you and AdListo regarding your use of the Sites, and supersede all prior and contemporaneous understandings, agreements, representations, or warranties, both written and oral, regarding the Sites. No oral or written information or advice given by AdListo, its representatives, or others will create any warranty or contract not expressly stated in these Terms. You may also be subject to additional terms and conditions that may apply when you use certain AdListo features or services, which will be presented to you at that time (such as terms for promotional campaigns, contests, or additional services).

No Waiver:
Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of AdListo. Similarly, a failure by you or AdListo to insist upon or enforce strict performance of any provision of these Terms is not a waiver of any later breach or default in performance.

Severability:
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, then that provision shall be eliminated or limited to the minimum extent necessary and the remainder of these Terms shall remain in full force and effect. The parties agree that the court should endeavor to give effect to their intentions as reflected in the provision, to the extent possible, and the invalidity of one provision will not affect the validity of the remaining provisions.

Assignment:
You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. Any attempt by you to assign these Terms without consent will be null and void. AdListo may freely assign or transfer these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

No Agency:
No joint venture, partnership, employment, or agency relationship exists between you and AdListo as a result of these Terms or your use of the Sites. You do not have any authority of any kind to bind AdListo in any respect whatsoever.

Limitation on Claims:
To the extent permitted by law, you agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Sites or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred. This limitation period may not apply in certain jurisdictions (for example, where prohibited by local consumer law), but to the extent it does apply, you expressly agree to this shortened period for bringing claims.

Headings and Interpretation:
The section titles in these Terms are for convenience only and have no legal or contractual effect. Words like “including” shall be interpreted to mean “including without limitation.” The word “or” is inclusive (“A or B” means “A or B or both”). Translations of these Terms into other languages (if any) are for convenience only; the English version will govern to the extent of any conflict.

AdListo may provide you with notices, including those regarding changes to these Terms or other matters, by email, regular mail, postings on the Sites, or other reasonable means. All notices given by you or required from you under these Terms (including notices of copyright infringement and legal disputes) shall be in writing and addressed to: Ad Listo L.L.C., support@adlisto.com (or via our Contact page at https://adlisto.com/contact/). Notices that you send without compliance with these requirements shall have no legal effect.
